Millennium Group Activity

Millennium bcp is a financial institution focused on retail banking.

With a leadership position in the market and prominence in various products, financial services and market segments, it is the largest privately-held Portuguese bank, with 421 branches and 6,264 employees in Portugal, at the end of March 2022.

Millennium Group is present in four continents either through retail operations, representation offices and / or trade protocols. The group had more than 6.2 million active customers at the end of March 2022.

Millennium Group has a prominent position not only in Africa, with the operation in Mozambique and the participation in Angola (through its associate BMA), but also in Europe, through its operation in Poland.

Since 2010, the Bank operates in Macao through an on-shore branch and has signed a memorandum of understanding with the Industrial and Commercial Bank of China with the objective of strengthening cooperation between the two banks, which is extended to other countries and regions beyond Portugal and China. Macau branch takes up increasingly as a strategic vector of development of relations between Europe, China and Lusophone Africa, particularly in the areas of trade finance and investment banking.

All operations carry out their activities under the Millennium brand.

International operations account for more than 65% of the total of 1,264 branches and for around 60% of the 15,744 employees of the Group. They contributed with 5.3 million Euros to the consolidated earnings, 67.1 million euros excluding the costs related with CHF loan portfolio, in the first three months of 2022

Banco Comercial Português, S.A. employs a one-tier management and supervisory model, composed by a Board of Directors, which includes an Executive Committee and an Audit Committee comprised of only non-executive Directors. The company also has a Remuneration and Welfare Board and an International Strategic Board.

In addition, the Group uses a Statutory Auditor and an external auditing firm to audit the individual and consolidated accounts of the Bank, whose appointment was deliberated at the General Meeting.

Since January 1, 2005, the Group's consolidated accounts are presented in accordance with International Financial Accounting Standards (IFRS).

In addition to being subject to supervision by the Bank of Portugal and by the Portuguese Securities Market Commission (CMVM), the Group's accounts are audited by an external Auditor, Deloitte & Associados Sociedade de Revisores Oficiais de Conta, S.A., represented by:

Dividends

BCP resumed the dividend payment this year, with a payment of 0.0009€ per share regarding the 2021 result distribution.

Shareholder's area

Banco Comercial Portuguese launched on February 3, 2014 a new service, "Millennium bcp Acionista", which allows holders of BCP shares to communicate more closely with the bank in which they have invested, and moreover access to Bank's products and services on preferential terms and benefit from a set of advantages and discounts agreed between Millennium bcp and its partners.

To access the "Millennium bcp Acionista", the Bank's shareholders can access to a specific area on the "millenniumbcp.pt" website, exclusively aimed to individual shareholders with the BCP shares deposited in Portugal, whether they are Bank's customers or not.

All the individual shareholders that own at least one BCP - Banco Comercial Português, S.A. share may become members of the "Millennium bcp Acionista" service. The shares must be deposited in Portugal.

The "Millennium bcp Acionista" service determines the stake owned based on information conveyed by CVM - Central de Valores Mobiliários (Central Securities Depository). This information is updated on a monthly basis, by the end of each month.

To become a member of the "Millennium bcp Acionista" service it is absolutely necessary to have the shares deposited in Portugal.

The membership of the "Millennium bcp Acionista" is free of charge.

Each shareholder, member of the "Millennium bcp Acionista" service, may benefit from advantages/offers attributed in accordance to the number of BCP shares held and deposited in Portugal. The advantages/offers available to the shareholders are fully described on the website of "Millennium bcp Acionista" service, as well as the rules for their attribution, being divided by categories according to the shareholders classification. In accordance with the number of BCP shares held by the member and deposited in Portugal at the moment of the registration, it is assigned a class ranging from Millennium according to the following table:

The classification attributed and entitled to the offers and respective exchange is verified every month and may be altered depending on the number of BCP shares held by the shareholder that are deposited in Portugal on that date.

When you stop being a shareholder of BCP, your membership of the "Millennium bcp Acionista" service shall be cancelled at the end of next month. Yet the benefits associated to the financial advantages shall remain in effect until the end of the ongoing civil year.

The benefits resulting from the classification given in view of the BCP shares held by the shareholders and deposited in Portugal are not transferable.
